Terms of Service - GreenField Silage Solutions Ltd
These Terms of Service govern the supply of services by GreenField Silage Solutions Ltd ("we", "us", "our") and the use of any related communications, quotations, bookings, and service arrangements by customers ("you", "your"). By requesting, booking, accepting, or receiving any services from GreenField Silage Solutions Ltd, you agree to be bound by these Terms of Service.
1. Introduction and acceptance of terms
These Terms of Service apply to all services provided by GreenField Silage Solutions Ltd, including where a quotation, order confirmation, email instruction, or verbal instruction has been accepted by us. If you do not agree to these Terms of Service, you must not engage our services.
Any additional terms proposed by you shall only apply if expressly agreed by us in writing. In the event of any conflict between these Terms of Service and a written service agreement or quotation issued by GreenField Silage Solutions Ltd, the written service agreement or quotation shall prevail to the extent of the conflict.
2. Scope of services
GreenField Silage Solutions Ltd provides agricultural silage and forage-related services, including but not limited to:
- Silage harvesting and clamp filling
- Forage trailer and transport support
- Silage pit consolidation and rolling
- Clamp covering and sheeting
- Silage additive application
- Feed-out and face management
- Silage machinery hire and operator support
All services are supplied subject to availability of equipment, operators, weather conditions, site access, crop conditions, and other operational constraints. Any times, dates, and durations provided are estimates only unless confirmed in writing as a fixed commitment.
We may use subcontractors, hired-in plant, or third-party operators where necessary for the performance of the services, provided that we remain responsible for the reasonable coordination of the service delivery.
3. User obligations and responsibilities
You agree to:
- Provide accurate and complete information relating to the site, crop, access routes, hazards, livestock presence, underground or overhead services, and any other relevant conditions.
- Ensure that the work area is safe, accessible, and suitable for the agreed services.
- Obtain all necessary permissions, consents, licences, and approvals required for the work to be carried out.
- Ensure that all machinery, vehicles, and personnel under your control comply with applicable health and safety requirements and do not interfere with our operations.
- Provide clear instructions and a competent representative on site where necessary.
- Take reasonable steps to protect your property, livestock, staff, visitors, and equipment during service delivery.
- Inspect the services promptly upon completion and notify us of any alleged issue within a reasonable time.
You acknowledge that agricultural operations may involve inherently variable conditions, including weather, ground conditions, crop moisture, machinery performance, and third-party activity. You are responsible for any delays, losses, or additional costs arising from inaccurate instructions, unsafe conditions, or failure to meet your obligations.
4. Payment terms and conditions
Unless otherwise agreed in writing, fees are payable in accordance with the quotation, invoice, or service confirmation issued by GreenField Silage Solutions Ltd.
- Prices may be quoted on an hourly, daily, per hectare, per load, or project basis.
- All prices are exclusive of VAT and any applicable taxes unless expressly stated otherwise.
- Additional charges may apply for waiting time, fuel, travel, accommodation, call-outs, abnormal site conditions, congestion, reattendance, and work outside normal hours.
- Invoices are payable by the due date stated on the invoice, and if no due date is stated, within 14 days of the invoice date.
- We may require a deposit, advance payment, or staged payments before commencing or continuing work.
- We reserve the right to suspend services where payment is overdue or where we reasonably believe payment will not be made when due.
Late payments may attract interest and recovery costs to the fullest extent permitted by applicable law. You shall not be entitled to withhold payment, set off any amount, or make deductions unless we have agreed in writing or a legal right applies.
5. Cancellation and refund policy
If you wish to cancel or reschedule a booking, you must notify us as soon as possible. Cancellation charges may apply depending on the notice provided and the extent of preparation, allocation of equipment, staffing, travel, fuel, or subcontracting arrangements already made.
- Cancellations made with sufficient notice may be accepted without charge at our discretion.
- Cancellations made after mobilisation, arrival on site, or commencement of work may be charged in full or in part.
- If work is delayed, interrupted, or cancelled due to weather, unsafe conditions, crop conditions, site access issues, or your failure to prepare the site, you may remain liable for costs incurred.
- Refunds, where applicable, will be assessed fairly based on the services actually performed and the costs reasonably incurred by us.
As our services are often bespoke, time-sensitive, and dependent on agricultural conditions, not all bookings will be eligible for refund. Any refund decision made by GreenField Silage Solutions Ltd will be without prejudice to any rights you may have under applicable law.
6. Liability limitations
Nothing in these Terms of Service excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Subject to the foregoing, GreenField Silage Solutions Ltd shall not be liable for:
- Loss of profit, loss of revenue, loss of production, loss of contracts, or loss of business opportunity;
- Indirect, consequential, or special loss or damage;
- Damage arising from unsuitable site conditions, pre-existing defects, hidden hazards, or inaccurate information provided by you;
- Delays caused by weather, traffic, machinery breakdown, supply shortages, or third-party actions;
- Loss or damage to crops, feed quality, machinery, vehicles, property, or livestock unless directly caused by our proven negligence;
- Any failure to achieve a particular silage quality, fermentation outcome, or preservation result where such outcome depends on factors outside our reasonable control.
To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with any service, contract, or booking shall be limited to the amount paid or payable for the specific service giving rise to the claim, unless a higher liability cap is expressly agreed in writing.

You are responsible for ensuring that any personal data you provide to us is accurate and lawfully supplied.
9. Force majeure
We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:
- Extreme weather, flooding, drought, frost, storms, or ground conditions;
- Fire, flood, accident, breakdown, or equipment failure;
- Labour shortages, strikes, industrial action, or illness;
- Acts of government, law, regulation, or emergency measures;
- Supply chain disruption, fuel shortages, or power failures;
- War, terrorism, civil disorder, or other force majeure events.
Where a force majeure event occurs, we may suspend, reschedule, or cancel affected services without liability, although we will use reasonable efforts to minimise disruption where practicable.
10. Changes to terms
GreenField Silage Solutions Ltd may update or amend these Terms of Service from time to time. Any changes will take effect when published on our website, issued by email, or otherwise notified to you, unless a later effective date is specified.
The version of the Terms of Service in force at the time of your booking or service acceptance will apply to that booking, unless a change is required by law or expressly agreed by both parties.
11. Applicable law and jurisdiction
These Terms of Service and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
Subject to any mandatory legal rights you may have, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute, claim, or matter arising out of or in connection with these Terms of Service or the services provided by GreenField Silage Solutions Ltd.

The remaining provisions shall continue in full force and effect. No failure or delay by GreenField Silage Solutions Ltd in exercising any right or remedy shall constitute a waiver of that right or remedy.
